END USER LICENSE AGREEMENT (EULA) — M365explorer-CL, v1.3

1. SUBJECT. Under this agreement KADODiS grants a non-exclusive, non-transferable right to use the M365explorer-CL application (the "Application") within the scope of the plan stated in the license key (number of users or computers, validity period), during the 30-day trial, or in the free edition under section 1a. The number of Application windows open at the same time is not limited by the license.

1a. FREE EDITION. A user signed in with a PERSONAL Microsoft account may use the Application free of charge and without time limit, subject to the following conditions:

(a) for NON-COMMERCIAL use only — not for business documents of an employer, of clients or of the user's own business;

(b) one signed-in user account;

(c) on one computer. Use on more than one computer requires a paid personal license. To check the number of computers, the Application sends the license service a pseudonymous fingerprint of the computer and the account, just as with paid licenses;

(d) occasional product messages are shown in a bar; they are fetched from the KADODiS server without any data about the user.

1b. COMPUTERS PER USER. With a per-user license, each licensed user may use the Application on up to three of their own computers, unless the license key states otherwise. With a volume license, the total number of computers is counted and the number of users is not limited.

1c. TERM AND RENEWAL. A paid license, including a paid personal license, is valid for one year and renews automatically for the following year, at the price then in effect, until the customer cancels it. It can be cancelled at any time; the license then remains valid until the end of the paid period, and the next period is not charged. A license paid in advance for several years is valid for the paid period.

1d. PURCHASE. Paid licenses are charged by the reseller Paddle as the seller (Merchant of Record), which also charges VAT according to the rules of the buyer's country.

2. NATURE OF THE APPLICATION. The Application is an access tool (a "window") to the customer's documents in Microsoft 365 (SharePoint Online, OneDrive for Business and personal OneDrive). It does not permanently store documents; the only copy of the documents remains in the customer's Microsoft 365 environment. The exceptions are actions the user starts: downloading a file to the computer, syncing folders between the computer and the cloud, and a temporary copy of a local file in the user's OneDrive for editing in Office for the web.

3. RESTRICTIONS. The following are prohibited: reverse engineering, circumventing licensing mechanisms (including the check with the license service), transferring the key to third parties, use beyond the licensed number of users and computers, and commercial use of the free edition.

4. LICENSE CHECKS AND DATA. The Application periodically verifies the license with the KADODiS service, transmitting only: the organization identifier (tenant ID), a pseudonymous hash of the user name, a pseudonymous fingerprint of the computer, and the application version. These data serve solely to verify the scope of the license (number of users and computers) and do not make it possible to identify the user or their actions. When a license is bought or requested, the e-mail address entered by the user is also sent, to deliver the license key and license notices. Passwords and document contents are NEVER sent to KADODiS.

5. EXPIRY. After the license or trial expires, following a grace period and warnings, the Application stops starting. The customer's documents remain untouched in Microsoft 365 and available through standard tools.

6. MAINTENANCE. For the duration of the license, KADODiS provides updates and adjustments to changes in Microsoft APIs.

7. WARRANTY. The Application is provided "as is". KADODiS does not warrant uninterrupted operation, particularly upon changes to Microsoft services, network outages, or misconfiguration of the environment.

8. LIABILITY. KADODiS's total liability is limited to the amount paid for the license in the preceding 12 months. KADODiS is not liable for indirect damages or data loss in the Microsoft 365 environment managed by the customer or by Microsoft.

9. TERMINATION. A material breach of this agreement entitles KADODiS to revoke the license. Sections 7 and 8 survive termination.

10. LAW AND JURISDICTION. The law of the Republic of Croatia applies; the court having subject-matter jurisdiction in Zagreb is competent. The Croatian text of this agreement prevails.
